Bank guarantee: reading the fine print before you rely on it

Advance payment, performance and bid guarantees in export deals: what each protects, and the five lines that decide whether it pays out.

A bank guarantee is the bank's own promise, written on its own paper, to pay if something goes wrong. In export deals the common kinds are the advance payment guarantee that protects the buyer's deposit, the performance guarantee that protects delivery, and the bid guarantee that protects the tender. Each one is only as good as the conditions written into it.

Whose risk it takes

Standards help: URDG 758 governs most demand guarantees and makes them payable on demand against a compliant statement, without the beneficiary proving breach first. A guarantee that says something else is not standard, and every departure needs reading twice.

The five lines that matter

Expiry date and place, the amount and whether it reduces with shipments, the claim conditions, the governing rule, and who signs. An expiry that says a calendar date while the delivery schedule says otherwise is the classic trap: the guarantee dies while the contract still runs.

If you are the beneficiary, a claim statement written so that a clerk can accept it is worth more than a longer guarantee. If you are the one applying for it, the counter-guarantee chain and the bank's fees are yours to price into the deal.

Before you rely on one

Check the issuing bank's standing in the buyer's country, not just its name. A guarantee from a bank you cannot enforce against is paper. Your own bank can advise it, and advising costs less than the mistake.

Where Ara helps

Ask Ara to extract the five lines from a draft guarantee and flag anything that departs from URDG 758, then ask what each departure means for your side of the deal. The text never leaves your PC.

Ara runs on your own PC and drafts the export documents with you: it reads the LC terms, fills the checklist and keeps every version. You stay the one who signs.
